Orders:
All orders are booked subject to crop growing conditions with the understanding that orders shall be void should injury befall the stock from drought, flood, fire, frost, errors in count, or by other causes beyond our control.

Prices:
Prices are listed for the trade of the United States and Canada only, and cancel all previous prices offered by us. They are quoted F.O.B. our nursery in Boring, Oregon and are subject to change without notice. Any additional cost incurred due to quarantine requirements, including fumigation and phytosanitary costs, will be in addition to the listed price.

Terms:
Our regular terms of net 30 days, are available to all customers with established records for prompt payment. All freight is due net 10 days.

Credit Application:
All customers, except those making prepayment, must fill out and sign a confidential credit application. The form provides basic information necessary for the extension of credit. The application sets out the credit policy of Northwest Shade Trees, and also makes provision for the granting of rights in collateral where necessary to secure the contract price of orders placed. We cannot assure a determination on a credit application unless made at least six weeks before shipment.

Past Due Accounts:
A service charge of 1 1/2% per month, 18% per annum, will be charged on all overdue accounts.

Grading:
All our trees are graded and dug in compliance with AAN standards. All trees are machine dug and placed in wire baskets with treated burlap to ensure excellent survivability and ease of handling.

Shipment:
Shipment is made at the expense and risk of the purchaser. We can arrange for shipment through our truck broker, or if you"d rather, you may arrange for the shipment of your order. To ensure quick, efficient loading, seven days notice is necessary when picking up your order. Our responsibility ceases upon delivery to the carrier. All orders not shipped by May 1st require a 25% non-refundable deposit. Trees without deposits will be subject to sales unless other arrangements have been made. For orders under $3,000 value, we may be unable to secure satisfactory shipping arrangements into some locations. In these cases, shipping will become the responsibility of the purchaser.

Guarantee:
Northwest Shade Trees expressly warrants that all trees purchased will be true to name and in good healthy condition when they leave the nursery. Northwest Shade Trees also holds itself in readiness, on proper proof to replace all such nursery stock that may prove otherwise. Northwest Shade Trees expressly disclaims any other warranty, express or implied, as to productiveness or growth, as to results secured in transplanting, or any other consequential damages. This warranty is not transferrable and is void if payment is not made in full when due of the full contract price for all nursery stock shipped.

Claims:
Claims for any cause will receive consideration only when made within 10 days after delivery of stock or acceptance thereof. We shall in no case be liable for any sum greater than the amount originally received for said nursery stock.

This warranty is in lieu of all other written or oral expressed or implied, warranties and Northwest Shade Trees hereby expressly disclaims any such warranties of merchantability or fitness for a particular purpose.

All nursery stock bearing plant patent identification numbers have been produced under license from the patent owner. Propagation or reproduction of these varieties without permission of the plant patent owners is in violations of plant patent law.

Claims will only be considered when payment has been made in full.

Tagging:
All tagging of trees will be completed by NWST. Any special or customer tagging will only be allowed with prior approval and may incur an additional fee of 10%.

Cancellations:
Northwest Shade Trees reserves the right to charge a re-stocking fee of 20% in the event that an acknowledged order is cancelled after having been dug.

Storage:
Any trees that are not shipped by May 1st, may be subject to a storage fee of up to 15%. This fee may also be applied to trees requiring digging during the months of June to September.
